{"id":18010,"date":"2023-09-13T21:06:06","date_gmt":"2023-09-14T04:06:06","guid":{"rendered":"https:\/\/live-canadian-association-of-snowboard-instructors.pantheonsite.io\/casi-blog\/special-general-meeting\/"},"modified":"2025-06-25T08:45:07","modified_gmt":"2025-06-25T15:45:07","slug":"special-general-meeting","status":"publish","type":"post","link":"https:\/\/casi-acms.com\/agm-board-elections\/special-general-meeting\/","title":{"rendered":"Special General Meeting"},"content":{"rendered":"<p class=\"lede\">Overview of the recommended changes:<\/p>\n<ul>\n<li><span id=\"email_2\">General drafting\/style changes meant to modernize the language and terms used (e.g.: \u201cchair\u201d instead of \u201cchairman\u201d).\u00a0<\/span><\/li>\n<li><span id=\"email_3\">Membership category clarification regarding regular (active) members being the only voting membership type, and supporter \/ associate member types being non-voting.<\/span><\/li>\n<li><span id=\"email_4\">President \/ Executive director clarification specifying these are two separate roles.<\/span><\/li>\n<li><span id=\"email_5\">The most substantive proposed changes related to the composition of the Board and term lengths, and include*:<\/span>\n<ul>\n<li><span id=\"email_6\">the addition of a seventh Board position, appointed by the Board;\u00a0<\/span><\/li>\n<li><span id=\"email_7\">the addition of a third possible three-year term for Directors;<\/span><\/li>\n<li><span id=\"email_8\">the adjustment of Board election dates to fall roughly in line with yearly AGM\u2019s;\u00a0<\/span><\/li>\n<li><span id=\"email_9\">the reduction of member supporters for Board nominations form 10 members to two;\u00a0<\/span><\/li>\n<li><span id=\"email_10\">retaining the Board\u2019s ability to extend the term of one or more Directors for up to one year, if required.<\/span><\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<p><span id=\"email_11\"><em>*The primary rationale for these Board governance changes was to ensure that CASI can attract and retain Directors for a longer period who have demonstrated commitment to the organization. The Board is trying to achieve the optimal balance between the principle of regular Board \u2018turnover\u2019 and recognition of the need to maintain organizational knowledge and experience.<\/em><\/span><\/p>\n<p>As a result, a\u00a0<span id=\"3\">Special General Meeting of the members<\/span>\u00a0was held on September 21, 2023.
