    BOARD OF DIRECTORS CALL FOR APPLICATIONS

    We are currently seeking passionate, dedicated members to join our Board of Directors. Directors should possess not only a keen interest in helping CASI to achieve our strategic objectives, but also bring with them a strong background of professional experience and skills to facilitate the Board’s mandate. The organization requires expertise in governance, law, business, human resources, accounting/finance, communications, and/or marketing.

    The CASI Board is looking to fill three (3) positions:

    • British Columbia Region Representative (elected position)
    • Quebec Region Representative (elected position)
    • Member At Large (new appointed position)

    Special General Meeting https://casi-acms.com/agm-board-elections/special-general-meeting/ Thu, 14 Sep 2023 04:06:06 +0000 https://live-canadian-association-of-snowboard-instructors.pantheonsite.io/casi-blog/special-general-meeting/ As part of our 2023-2026 Strategic Plan: The Three Trails of Excellence, the Board of Directors recently recommended a few bylaw updates. The changes reflect the need for the modernization of CASI’s governance structure - including Board make-up, bylaws updates, and articles of incorporation changes.

    Overview of the recommended changes:

    • General drafting/style changes meant to modernize the language and terms used (e.g.: “chair” instead of “chairman”). 
    • Membership category clarification regarding regular (active) members being the only voting membership type, and supporter / associate member types being non-voting.
    • President / Executive director clarification specifying these are two separate roles.
    • The most substantive proposed changes related to the composition of the Board and term lengths, and include*:
      • the addition of a seventh Board position, appointed by the Board; 
      • the addition of a third possible three-year term for Directors;
      • the adjustment of Board election dates to fall roughly in line with yearly AGM’s; 
      • the reduction of member supporters for Board nominations form 10 members to two; 
      • retaining the Board’s ability to extend the term of one or more Directors for up to one year, if required.

    *The primary rationale for these Board governance changes was to ensure that CASI can attract and retain Directors for a longer period who have demonstrated commitment to the organization. The Board is trying to achieve the optimal balance between the principle of regular Board ‘turnover’ and recognition of the need to maintain organizational knowledge and experience.

    As a result, a Special General Meeting of the members was held on September 21, 2023. This special meeting was held to allow members to vote on approval of such proposed changes as mandated by and in accordance with the Canada Not-for-profit Corporations Act.

    The meeting was well-attended by members and, as a result, all proposed bylaw and articles changes were passed.  The CASI Board of Directors thanks all members present for their input and involvement, and looks forward to work on your behalf in continuing to carry out the key objectives listed in our strategic plan.

    Andrew Manuel has resigned from his seat on the CASI Board of Directors as of Feb 22, 2023. CASI would like to recognize Andrew for his commitment and investment as a volunteer on the Board. Andrew was a key part of many transitional changes in our association, including navigating the exit from the COVID pandemic, and the change in leadership at the Executive Director position. We thank Andrew, and wish him all the best in his future projects.

    As you know, CASI is governed by an elected Board of Directors. The Board helps to shape and direct the current practices and future development of snowboard instruction in Canada by setting the overall strategic priorities. With Andrew’s exit, the Board now requires a temporary replacement to fill the Alberta Board seat for the remainder of his term (until November 2024). As per the association bylaws, the Board of Directors may fill the seat by appointing a suitable replacement as soon as is required.

    At this time, the Board of Directors is seeking applications from interested candidates to fill the Alberta seat on the National Board of Directors. Once a list of applicants has been compiled, the Board will screen and select a suitable replacement.

    CASI’s Board of Directors acts as a ‘policy’ Board, providing strategic direction and planning and clear policies for operations. Responsibility for the day-to-day operations and achieving results are the responsibility of the Executive Director. 

    Specific responsibilities of the Board lie in the areas of: 

    1. Strategic Planning and Priorities
    2. Policies and Procedures 
    3. Management and Human Resources 
    4. Fiduciary Responsibility 
    5. Business Management 

    The Board of Directors concentrates on providing leadership and direction to the organization through clearly articulated policies and goals. The Board will allow the Executive Director to administer operations and will not involve itself in management decisions or in the day-to-day operations of CASI. Additionally, technical / course or program-related decisions and management will be handled by the Program Director with support from the Executive Director and with input by volunteer technical committee members (National Technical Team).

    Procedure for Applying
    Board members are required to be CASI members in good standing, and must reside in the region that they are representing. Specific skills, experience and attributes may be desired by the existing Board based on current projects, including, but not limited to:

    • Legal
    • Financial / accounting
    • Human Resources
    • Marketing & Promotions
    • Strategic Planning
    • Communications
    • Business Development
